SEC Releasing Changes to EDGAR System Monday, June 23rd

On Monday, June 23rd, the SEC is expected to release changes to its EDGAR Systems impacting XBRL filings and Section 16 Forms 3, 4 and 5, which necessitate CT releasing an upgrade of EDGAR Ease+.

Starting June 23rd, the EDGAR system will support the new XBRL-US Financial Reporting Taxonomies 1.0 developed by XBRL-US and released on April 28, 2008, and the new Taxonomies will be available for use in the XBRL voluntary program. The changes the SEC is releasing which impact Forms 3, 3/A, 4, 4/A, 5 and 5/A, involve an update of the OMB sticker which appears on all of the forms when they are disseminated via EDGAR, and changes in how and where footnotes may be entered on Forms 4, 4/A, 5 and 5/A.

Once the SEC releases its EDGAR system changes on Monday, June 23rd, it will be considered a schema violation (thus causing your Section 16 filing to be suspended) to include footnote indicators for fields that do not allow footnotes or are otherwise not shown on the printed form.

For EDGAR Ease+ users preparing Section 16 forms using the Form 3/4/5 Wizard, this means:

• Footnotes are no longer allowed for the Acquired/Disposed Code field (Item 5) in Table II of Forms 4, 4/A, 5 or 5/A.
• Footnotes are no longer allowed for the Timeliness field in either Table I or Table II of Forms 5 and 5/A.
• All Section 16 Forms printed to paper or proofed to browser view from the Form 3/4/5 Wizard will show an OMB sticker date of February 28, 2011.

How to Download Your Fully Compliant Upgrade of EDGAR Ease+

EDGAR Ease+ 2.1.1 will be available Tuesday, June 24th. In keeping with CT's very stringent Quality Assurance standards, the EDGAR Ease+ upgrade will be thoroughly tested against the live release of the SEC's EDGAR changes before the software is released to our customers.

CT has also taken the opportunity in this release to fix a few very minor issues not related to the SEC changes, which have been reported by users since the May 7 and later releases of EDGAR Ease+.
